These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Subscriber," "User," or "you") and XRN Satellite Radio ("Company," "we," "us," or "our") governing your access to and use of all XRN Satellite Radio services, including our satellite radio broadcasts, mobile applications, website, streaming platforms, and any related services (collectively, the "Services").

By subscribing to, accessing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use our Services. These Terms apply to all users of XRN Satellite Radio services in both the United States.

2. Eligibility

To subscribe to and use XRN Satellite Radio services, you must meet the following eligibility requirements:

• You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and subscribe independently
• Individuals between the ages of 13 and 18 may use XRN Satellite Radio services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms
• You must provide accurate and complete registration information
• You must have a valid form of payment accepted by XRN Satellite Radio
• You must be a resident of or located in the United States

3. Subscription Plans and Services

XRN Satellite Radio offers various subscription plans designed to meet different listening preferences and budgets. Our subscription offerings include:

• Basic Plan: Access to over 100 curated channels including music, news, and talk shows
• Premium Plan: Access to all 200+ channels, including exclusive content, live sports, and premium music channels
• Family Plan: Multi-device access for up to five family members under a single subscription
• Car + Streaming Bundle: Combined satellite radio (in-car) and online streaming access

Specific features, channel availability, and pricing for each plan are detailed on our website and may vary by region. XRN Satellite Radio reserves the right to modify subscription plans, features, and pricing at any time with reasonable prior notice to subscribers.

4. Registration and Account Security

When you create an XRN Satellite Radio account, you agree to:

• Provide truthful, accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the confidentiality of your account credentials and not share your login information with any third party
• Accept full responsibility for all activities that occur under your account
• Notify XRN Satellite Radio immediately of any unauthorized use of your account or any other security breach

XRN Satellite Radio reserves the right to suspend or terminate any account that violates these Terms, is involved in fraudulent activity, or poses a security risk to our Services or other users.

5. Fees, Payments, and Billing

By subscribing to XRN Satellite Radio, you agree to the following payment terms:

• Subscription Fees: You agree to pay all applicable subscription fees as specified in your chosen plan. Fees are charged in advance on a monthly or annual basis, depending on your selected billing cycle
• Payment Methods: We accept major credit cards, debit cards, UPI, net banking, and other payment methods as specified during checkout
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date
• Price Changes: We may adjust pricing from time to time. We will provide at least 30 days' notice before any price increase takes effect
• Taxes: All fees are exclusive of applicable taxes, duties, and levies, which will be added to your total charges as required by law
• Late Payments: Late or failed payments may result in temporary suspension of your service until outstanding balances are resolved

6. Cancellation and Refund Policy

You may cancel your XRN Satellite Radio subscription at any time by contacting our customer support team. Please note the following regarding cancellations:

• Cancellation will take effect at the end of your current billing period
• You will retain access to your subscribed services until the end of the paid period
• Refunds for partial billing periods are generally not provided, except where required by applicable law
• Annual subscribers may be eligible for a prorated refund if cancellation occurs within the first 30 days of subscription
• Any promotional credits or discounts applied to your account are non-refundable

7. User Conduct and Acceptable Use

When using XRN Satellite Radio services, you agree not to:

• Use the Services for any illegal, unauthorized, or harmful purpose
• Attempt to circumvent, disable, or interfere with any security features or access restrictions
• Reproduce, distribute, broadcast, or publicly perform any content from XRN Satellite Radio without prior written authorization
• Record, copy, or redistribute any satellite radio broadcasts or streaming content
• Use any automated systems, bots, or scripts to access or interact with our Services
• Share your subscription credentials or allow unauthorized individuals to access your account
• Modify, reverse engineer, decompile, or disassemble any portion of XRN Satellite Radio's software, technology, or infrastructure
• Use the Services in a manner that could damage, disable, overburden, or impair our systems or interfere with other users' enjoyment of the Services

8. Intellectual Property Rights

All content, materials, features, and functionality available through XRN Satellite Radio services are protected by intellectual property laws. This includes, but is not limited to:

• The XRN Satellite Radio brand name, logos, trademarks, and service marks
• All audio content, music, talk shows, news broadcasts, and original programming
• Software, source code, algorithms, and technical architecture
• Website design, user interface elements, graphics, and visual elements
• Marketing materials, promotional content, and advertising

All intellectual property rights are owned by or licensed to XRN Satellite Radio. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use only. This license does not grant you any ownership rights in our intellectual property.

9. Service Availability and Modifications

While XRN Satellite Radio strives to provide uninterrupted service 24 hours a day, 7 days a week, we cannot guarantee that the Services will always be available or error-free. We may occasionally experience:

• Planned maintenance windows requiring temporary service interruptions
• Technical difficulties due to satellite positioning, weather conditions, or equipment malfunction
• Modifications to channel lineups, programming schedules, and content offerings
• Updates to our software, mobile applications, and web platform

XRN Satellite Radio reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify subscribers of significant changes in advance.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• XRN Satellite Radio and XRN Satellite Radio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services
• Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount of subscription fees you have paid to XRN Satellite Radio in the twelve (12) months preceding the claim
• We are not liable for any loss or damage resulting from service interruptions, data loss, unauthorized account access, or technical malfunctions beyond our reasonable control

11. Indemnification

You agree to indemnify, defend, and hold harmless XRN Satellite Radio, XRN Satellite Radio, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of the Services, or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes shall be subject to binding arbitration under the rules of the American Arbitration Association.

Before pursuing any formal dispute resolution, both parties agree to attempt to resolve any disagreements through good-faith negotiation and mediation.
